Austria: Schoenherr advises Rohrdorfer group on its acquisition of CEMEX's operations in Austria and Hungary

Schoenherr advised Rohrdorfer group on its acquisition of CEMEX's operations in Austria and Hungary for approx. EUR 160 mn. A sale and purchase agreement was signed on 11 August 2015. The closing of the transaction is expected during the fourth quarter of 2015 and is subject to the satisfaction of standard conditions for this type of transaction, including merger clearance.

The Austrian operations consist of 24 aggregate quarries (approx. 6.47 mn metric tonnes of aggregates sold in 2014) and 34 ready-mix plants (approx. 1.60 mn cubic metres of ready-mix sold in 2014). CEMEX's operations in Austria had net sales of approx. USD 241 mn in 2014.

The Hungarian operations being divested consist of 5 aggregate quarries (approx. 1.36 mn metric tonnes of aggregates sold in 2014) and 34 ready-mix plants (approx. 0.46 mn cubic metres of ready-mix sold in 2014). CEMEX's operations in Hungary had net sales of approx. USD 47 mn in 2014.

Rohrdorfer group operates in five business units: cement, ready-mix concrete, sand and gravel, concrete goods, and finished parts. It has sites in Bavaria, Austria and in the South Tyrol region of Italy. In 2014, Rohrdorfer group generated a turnover of approx. EUR 290 mn and employed 1,100 people. Its acquisition of CEMEX's operations in Austria and Hungary allows the group to both expand regionally and strengthen its core business.
