A NEW MEDIA POWER CENTER IN BRASOV, ROMANIA

Braşov - 08 august 2012 - Internationally awarded Film Director Bruno Pischiutta, known for his lifelong commitment to the art of cinema, is the Chairman of Global Film Studio Inc., the President of Toronto Pictures Inc. and the Artistic Consultant of Adhara Properties Inc. and of the Brasov International Film Festival & Market.

In an open letter to all shareholders, partners, collaborators and associates of the group of companies mentioned above, Mr. Pischiutta has communicated today the following:

“We like to share with you information about the success and the profitability that our work has generated.

In the next two years, the total budget of our activities is €10.8M. Of course, we are open to private investors and strategic partners. Here in Europe we have created an extremely profitable financial center and, definitely, a center of media power.

• The Film Festival:

The first edition of Brasov International Film Festival & Market was a real success and it definitely qualifies the Festival as one of the best 10 in the world. My personal congratulations to Daria Trifu, creator and director of the Festival, and to all the team that has cooperated to this success. My thanks also go to Brasov City Hall and to the Festival partners and sponsors (such as Procter & Gamble, Maurer Imobiliare, Klopman International, Ambasador Restaurant, Linx, etc.) who had the right vision and showed that they really care for the culture and the art in Brasov, Romania.

In a couple of weeks, we will start the sales of sponsorship for the next edition of the Festival 2013. Right now, we are looking to have financial and/or strategic partners with a contract of 1 or 2 years, for the next editions of the Festival.

The Festival has been solely financed by our company; we did not ask or receive any public funds.

Clearly, the Festival that was not existing 15 days ago, now has a financial value measurable in millions of dollars that will be properly evaluated in the next few weeks.

• Film Releases and Productions:

It is our plan to release another 8 titles before the end of the year. Releasing 11 titles in few months qualifies our film Studio as a leader in the international industry.

We are now completing the production of two documentaries that we have already shot. One is entitled BRASOV: PROBABLY THE BEST CITY IN THE WORLD (14 months of shooting; final runtime 70 min.) and the other is a documentary about the First Edition of Brasov International Film Festival (1 month shooting; final runtime 24 min.). We have also filmed 30 hours of the International Film Workshops held by me in Brasov; we are now editing 4 DVDs that, technically, will contain courses in film writing, film acting, film producing and film directing (we will release and sell this unique production internationally).

We are in preproduction of a short film of 24 min., entitled SUICIDE and with a budget of €180,000. We are also in preproduction of a feature film of 96 min., entitled CONFESSIONS and with a budget of €1.8 million (includes the 3D version of the film too). Our productions are nonviolent.

Our films are financed by private investors only; my companies do not ask for and do not want any Government funds. Our normal financing deal is structured as follows: the amount contributed by the investors is paid back to them in first position; after that, the profit is shared proportionally for 3 years. From our side, we always give 10% of our profit to charitable organizations so that we can take care of our social responsibilities.

Brasov Film Center S.R.L. is now a reality. Contemporarily to the production of feature films and documentaries, the Center will produce TV commercials and it is in our plan to bring to Transylvania a big share of the Bucharest market and a reasonable share of the American market.

• Corporate Restructure:

Considering that we have 2 private companies, Adhara Properties Inc. (owner of DARIA! magazine, the feature film PUNCTURED HOPE, etc.) and Global Film Studio Inc. (international film distribution, owner of a big part of Brasov Film Center - film Festival, film production, etc.) and considering the new rules of the Frankfurt Stock Exchange and that we also own Toronto Pictures Inc., a public company in the USA on the OTCPK, we are working to merge these 3 companies in one company only.

It is our target to have this company, of very high value, dually listed on the OTCBB (USA) and on the Frankfurt Stock Exchange in the next 18 months.
